DebtoNote Affiliate program terms

The DebtoNote Affiliate program is for individuals and companies that recommend DebtoNote to potential business customers.

An approved Affiliate may receive a reward for new customer referrals under these terms.

The Affiliate program is not an employment relationship, an agency agreement, a franchise or an agreement to provide debt recovery services.

Only Affiliates approved by DebtoNote may participate in the program.

Applications are reviewed individually. DebtoNote may approve, reject, suspend or terminate participation in the program by a reasoned decision.

An approved Affiliate receives a personal referral link or code.

The Affiliate must provide accurate and up-to-date information, including an email address, payout details and, where required, documents needed to pay the reward.

An Affiliate reward may be calculated only for a new DebtoNote customer who:

• registered through a valid Affiliate referral link or was assigned manually by a DebtoNote administrator;
• is not the Affiliate, a related person or the Affiliate’s own organisation;
• is not an internal, test or otherwise ineligible DebtoNote customer;
• becomes an active paying DebtoNote customer.

A referral is attributed to an organisation, not to an individual user of that organisation.

Once an organisation is attributed to an Affiliate, another Affiliate cannot take over that referral merely because a later link was clicked.

If an organisation uses the same company registration code, no additional reward is calculated for the same legal entity, except for exceptions expressly confirmed by a DebtoNote administrator.

The usual Affiliate reward share is 15%.

The individual reward rate may vary and typically ranges from 10% to 20%. The specific Affiliate reward share is shown in the Affiliate account or in an individual agreement.

The reward is calculated only on DebtoNote platform services for which the customer has actually paid.

The reward is not calculated on:

• VAT;
• refunded or credited amounts;
• payments made by debtors;
• recovery partner remuneration;
• debt recovery success fees;
• legal services;
• other revenue that is not remuneration for DebtoNote platform services.

The Affiliate reward period lasts 12 calendar months from the first eligible paid DebtoNote service for the organisation.

If the customer is later granted a credit, a refund is made or a payment is adjusted, the corresponding Affiliate reward may be reduced or cancelled.

Affiliate rewards accrue in the Affiliate account.

Payouts are made:

• no more than once a month;
• in euro;
• by bank transfer;
• when the amount payable reaches at least EUR 50.

DebtoNote may apply a reasonable holding period before confirming a reward, so that payment adjustments, refunds or other reasonable circumstances can be assessed.

Before the first payout, the Affiliate must provide accurate bank account details and all documents reasonably requested by DebtoNote.

Where required by law, DebtoNote may withhold, report or otherwise administer payments in line with applicable legal and tax obligations.

The Affiliate is responsible for their own tax, accounting and reporting obligations, except where applicable law provides otherwise.

Legal entities and persons carrying out individual activity must provide appropriate accounting documents where these are required for payout.

The payout process for a natural person may depend on their form of activity, country of residence and applicable law.

The Affiliate undertakes to:

• recommend DebtoNote honestly and professionally;
• provide accurate information about DebtoNote;
• comply with applicable advertising, privacy and electronic communications requirements;
• not infringe third-party rights;
• not use misleading, aggressive or unsolicited communications;
• keep their login credentials and referral code secure.

The Affiliate may not:

• promise a specific debt recovery result;
• promise legal services in DebtoNote’s name;
• promise guaranteed earnings;
• enter into contracts in DebtoNote’s name;
• use the DebtoNote brand or name in a misleading way;
• use their referral link for their own organisation;
• artificially create registrations, payments or referrals;
• use spam, deceptive advertising, automated traffic or misleading offers.

DebtoNote may suspend or terminate Affiliate participation in the program if there is a reasonable suspicion of:

• fraud;
• self-referral;
• inaccurate information;
• a breach of these terms;
• unlawful or misleading advertising;
• harm to DebtoNote’s reputation or to customer interests.

While participation is suspended, new organisations are no longer attributed to the Affiliate.

Reward for organisations lawfully attributed before the suspension may continue to be calculated until the end of the applicable period, except in cases of fraud, conflict of interest or another reasonably exceptional situation.

The Affiliate is entitled to see only information intended for their Affiliate account.

The Affiliate has no right to receive DebtoNote customer debt, case, debtor, invoice or recovery partner data.

DebtoNote processes personal data in accordance with its Privacy policy and applicable data protection law.

The Affiliate is independently responsible for their marketing, communications and referral activities.

The Affiliate has no right to act in DebtoNote’s name, create obligations in DebtoNote’s name or make statements that DebtoNote has not approved.

DebtoNote does not guarantee that an Affiliate will receive a reward, a specific number of customers or any particular income.

DebtoNote may change these terms for the future.

The Affiliate will be informed of material changes through the Affiliate account, by email or by publishing an updated version of these terms on this page.

Changes do not apply retroactively to reward already accrued and lawfully calculated under the previous rules, except in cases involving error, fraud, refunds or requirements of law.

These terms are governed by the law of the Republic of Lithuania.

Disagreements are first resolved by negotiation. If no agreement is reached, the dispute is resolved in accordance with the law of the Republic of Lithuania.
